Including the Monthly Accounting Services Agreement for all plans

Version 2026-10-13

Welcome to Merchant Place Books. By browsing or interacting with this website, you agree to comply with and be bound by the following terms and conditions of use. If you sign up for a monthly plan, Section 3 below — the Monthly Accounting Services Agreement — is also the binding contract for that engagement.

1. Purpose of This Site

This website is intended to give ecommerce sellers information about our bookkeeping, books reconstruction, and monthly accounting services, and to let you request a Diagnostic Review or get in touch. Nothing on this site constitutes formal accounting, tax, or legal advice, and no advisor-client relationship is created simply by browsing this site or submitting an inquiry.

2. Engaging Our Services

Submitting our contact form, requesting a Diagnostic Review, or scheduling a call does not by itself create a service relationship. For our monthly plans, your engagement begins as soon as you complete the sign-up form and check the box confirming you've read and agree to Section 3 below — there's no separate document to review and sign afterward. Your checked box, together with the sign-up details you submit, is your acceptance of the Monthly Accounting Services Agreement for the plan you selected.

3. Monthly Accounting Services Agreement

This Agreement is between Blue Ledger Inc., operating as Merchant Place Books (“we,” “us,” “MPB”) and the person or business who signs up for one of our monthly plans (“you,” “Client”), effective on the date you complete sign-up and check the agreement box. By doing so, you agree to the terms below for the plan you selected.

3.1 What We Do

We provide the bookkeeping services listed for your plan tier on our Pricing page and summarized below, which may include unbundling your platform payouts, monthly Profit & Loss and Balance Sheet, true COGS and margin calculation, transaction categorization, and reconciling your connected bank, card, and sales-channel accounts. Exact scope depends on your plan tier.

This is bookkeeping — not tax filing, tax advice, legal advice, or an audit. Our Scale plan includes handoff support to your CPA at tax time, but filing your taxes is always the job of your own tax professional, not ours.

On every plan, we’ll answer reasonable questions from your CPA or tax preparer about the bookkeeping we’ve performed for you at no additional charge. This doesn’t include preparing or amending tax returns, tax advice, or work on periods before your Service Start Date, and Scale’s tax-season handoff support is in addition.

Starter — $149/month

Single-channel sellers under $5k/mo revenue. Includes monthly bookkeeping, up to 200 orders/mo, bank reconciliation (2 accounts), financial statements, COGS & margin calculation. QuickBooks Online and A2X included. Forward-only scope — see 3.3.

Essential — $299/month

Single-channel sellers doing $5k–$10k/mo revenue. Includes up to 1,000 orders/mo, bi-weekly platform settlement reconciliation, bank reconciliation (3 accounts), sales tax clearing account tracking, close by the 7th with executive summary. QuickBooks Online and A2X included.

Growth — $695/month

Multi-channel sellers doing $10k–$50k/mo revenue across up to 3 channels (Amazon, Shopify, Walmart, or eBay). Up to 5,000 orders/mo, monthly landed COGS & inventory entries, channel-level P&Ls, Amazon reserve clearing, up to 5 bank/gateway accounts, monthly video walkthrough. QuickBooks Online and A2X included.

Scale — $997/month

Multi-channel brands doing $50k–$200k/mo revenue across up to 5 channels. Up to 10,000 orders/mo, advanced SKU margin & inventory valuation, unlimited bank/gateway accounts, CPA tax-season handoff support, priority support + quarterly video review. QuickBooks Online and A2X included.

3.2 What's Not Included

On every plan, the following are outside your monthly fee: payroll processing or payroll tax filing; preparing or filing your tax returns; sales-tax filing or remittance; historical cleanup or catch-up bookkeeping; and advisory, CFO, or financial planning services. If your business needs any of these, ask us about adding them as a separate engagement.

Beyond that, what's included varies by tier:

3.3 Starter Plan — Scope and Prior Period Exclusion

This section applies only to the Starter plan. Our Starter services begin on your Service Start Date. We'll record an opening balance in your accounting file equal to your bank account balance as of that date, and provide bookkeeping for all activity from that date forward.

We don't review, verify, reconcile, correct, or take responsibility for any transactions, balances, or records dated before your Service Start Date — including unreconciled bank or credit card activity, uncategorized transactions, or prior-period errors. Those remain your responsibility. As a result, your balance sheet may reflect unresolved amounts from prior periods, including an Opening Balance Equity balance — this is a normal, expected outcome of Starter's forward-only engagement, not an error in our work. If you need historical reconciliation or cleanup, that's available as a separate engagement at additional cost.

Because Starter is a quick-service engagement, we also need you to respond to requests for clarification within 7 days, and to notify us promptly of any changes to your sales platforms, bank accounts, or business structure.

3.4 Software & Data Access Requirements

Core accounting software subscriptions for QuickBooks Online (up to the Simple Start tier) and A2X are included in your monthly plan fee across all tiers. If your business requires a higher QuickBooks Online tier — Essentials, Plus, or Advanced, for example for inventory tracking, class/location tracking, or additional users — the difference between the Simple Start rate and your required tier is billed to you separately, or you may keep your own QuickBooks Online subscription in your name at that tier instead. Third-party compliance or sales-tax software (such as TaxJar or Avalara) is subscribed to and paid for directly by you where required; we manage and maintain the integrations to your accounting stack at no additional charge.

We work through your existing (or newly connected) QuickBooks Online read-only bank feed and secure platform authorizations, which give us the access required to complete your bookkeeping — you retain full legal ownership and control of all your accounts at all times.

You agree to provide timely, accurate financial information and necessary access credentials. We are not responsible for errors or delays resulting from missing information, delayed client responses, or errors present in your underlying source data.

3.5 Fees & Billing

Your first payment is charged on the date you sign up, covering the rest of that month at the monthly rate. After that, your fee is billed in advance on the 1st of every month.

If you booked a Diagnostic Review and are signing up within 30 days of it, that fee is credited toward your first invoice. We'll give you 30 days' written notice before any price change.

3.6 Plan Verification and True-Up

Your monthly plan is assigned based on the monthly revenue, active sales-channel count, and order volume you provide at sign-up. You represent that these figures were accurate to the best of your knowledge at the time of sign-up.

During onboarding, and on an ongoing basis thereafter, Merchant Place Books will confirm your actual figures against your connected accounting and sales platforms. If at any time your actual figures exceed the published thresholds for your current plan (such as order volume, revenue tier, or sales-channel limits), we'll notify you and move you to the plan tier that matches your actual figures, effective retroactive to the start of this engagement (or, if later, the date the actual figures first exceeded the prior tier's thresholds). You authorize us to invoice the resulting fee difference for any period already billed at the incorrect tier, and future billing will reflect the corrected plan going forward.

If your actual figures exceed the thresholds of our highest published plan tier, we'll provide you with a custom quote for continued service, effective at the start of the next billing cycle following notice, unless we agree otherwise in writing.

You agree to notify us promptly if your monthly revenue, active sales-channel count, or order volume grows beyond your then-current plan's thresholds.

3.7 Term & Cancellation

This Agreement is month-to-month. Cancel anytime, with no long-term commitment or cancellation fee — an email to us is enough — and your plan ends at the close of your current billing month. A partial month is billed the same as a full month in either direction: we don't prorate your first month when you sign up partway through one, and we don't refund the current month if you cancel partway through it. Fees for work already completed remain payable.

3.8 Your Data Stays Yours

Your books live inside your own QuickBooks Online account, and every report we produce belongs to you. We keep your financial information confidential, use it only to deliver these services, and apply standard safeguards to protect it. If you cancel, your QuickBooks file and all your other data remain with you.

4. Intellectual Property

The content on this site — including our branding, logos, copy, and page design — belongs to Merchant Place Books and may not be copied or reused without permission.

5. Third-Party Trademarks

QuickBooks and QBO are registered trademarks of Intuit Inc. Amazon, Shopify, Etsy, eBay, and Walmart are trademarks of their respective owners. A2X and TaxJar are trademarks of their respective owners. Merchant Place Books is an independent bookkeeping service and is not affiliated with, endorsed by, or sponsored by any of these companies; references to them are made solely to describe the platforms we support.

6. Limitation of Liability

This website and its content are provided "as is" for general informational purposes. While we aim to keep it accurate, we make no guarantee that it's complete, current, or error-free, and we're not liable for decisions made based solely on this website.

For an active monthly plan, we work carefully, but our output depends on the access and information you give us. To the extent permitted by law, our liability for any claim arising from the Monthly Accounting Services Agreement in Section 3 is capped at the fees you paid us in the 3 months before the claim, and neither of us is liable to the other for indirect or consequential damages. This cap also applies to any claim arising from prior-period activity excluded under Section 3.3, or from third-party platform errors.

7. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.
